Wholesale Terms & Conditions
Northern Grade, LLC d/b/a American Grade (“American Grade”) acceptance of your (“Retailer” or "Retailer's") application and wholesale orders is expressly made conditional on Retailer’s agreement to these terms and conditions set forth below and will govern ALL transactions between the American Grade and the Retailer:
HOW TO PLACE AN ORDER
Interested Retailers must first register here and be approved to become an authorized retailer. Follow the prompts and submit your information. Please email info@americangrade.co for any questions.

12 units (across sizes). A unit is defined as one 2-pack (s-xl) or one 1-pack (2x – 4x)
WHOLESALE COST
All prices are listed in U.S. dollars and per unit. All authorized retailers will receive 50% off the MSRP provided the MOQ is met.
MSRP
Products or goods purchased from American Grade shall only be sold at the manufacturer’s suggested MSRP and Retailer agrees not to sell below the minimum MSRP below. American Grade reserves the right to change MSRP at anytime.

DELIVERY DATE
Production is scheduled for June/July 2024, with delivery approximately 4-6 weeks after (or sooner).
PAYMENT TERMS
50% deposit is required on placement of an order and the remaining 50% plus shipping costs will be charged to the Retailer before shipping. We are not able to offer terms at this time. Acceptable payments include all major credit cards, Apply Pay, and Google Pay. For wiring instructions, paying by Zelle or if paying by check, please email info@americangrade.co.
CANCELLATION
After order is placed by Retailer and 50% payment is processed, there are no cancelations or refunds given for any reason. In the event American Grade fails to deliver units that have been ordered by the Retailer, a refund will be issued for 100% of the amount received.
RETURNS
Retailer must make any claims of defects, including but not limited to those related to shortages, quality, or specification, within the first 7 days after receipt. American Grade is not responsible for shortages when shipments are directed to a third party. It is the responsibility of the Retailer to inspect upon receipt, that all items delivered matches the items ordered / invoiced. Returns are only accepted for store credit and if the item present quality defects. We don’t accept return of faulty items that have been worn or altered in any manner.
PACKAGING
All products come folded in retail packaging (as shown on americangrade.co) in a 2-pack (S-XL) or 1-pack (2x-4x) with product sizing and care instructions on the exterior. Please note that there are no content care labels on the t-shirts.
SALE OF GOODS
Any resale of American Grade products on Retailer’s website or any public forms such as Amazon.com , Ebay.com or similar are expressly prohibited unless specifically agreed to in writing by American Grade
SHIPPING
Shipping is not included in the cost of goods and will be billed on addition to the remaining 50% balance. All orders will be shipped ground service via UPS, Fed Ex or USPS. The merchandise travels under the responsibility of the Retailer.
INTERNATIONAL SHIPPING
We calculate shipping rates based on weight and transit distance. Rates are exclusive of taxes, duties, and customs fees which are solely the responsibility of the Retailer. We ship anywhere outside the domestic U.S. using either FedEx or UPS or we can ship to a retailer’s freight forwarder in the U.S. We cannot guarantee delivery time as it depends on how efficient your country’s customs agents are.
COPYRIGHT & INTELLECTUAL PROPERTY
All of the designs, products, and content within and any materials made available on the website are the sole property of American Grade The website, designs, products, images and content within are protected by copyright and intellectual property law and may not be reproduced in any form without the express written consent of American Grade. You hereby agree not to reprint, post, or copy (including electronic or digital scans) any photography, sales materials, or product designs without the advance, express written consent of American Grade
MERCHANTABILITY AND MISREPRESENTATIONS
The Retailer agrees that American Grade makes no warranty, express or implied, as to the merchantability of its products. The Retailer also agrees that American Grade is not liable for any misuse or misrepresentations of the goods by the Retailer or the final retail purchaser or consumer, and indemnifies American Grade for any legal actions that emanate or arise from such actions.
PRIVACY POLICY
Any personal information that you provide to us including your name, address, telephone number and email address will be treated confidentially and will not be released, sold or rented to any entities or individuals outside of American Grade. American Grade does not collect or record any credit card details you may provide when purchasing products from the American Grade website.
